These Terms and Conditions ("Terms") govern your submission of designs to Inkbox. By creating a profile and submitting your designs, You (the "Inkbox Artist") accept these Terms and agree to be legally bound by them. This is an ongoing agreement with no set Term Timelines other than your Application Approval Date as the starting time of your agreement to these Terms. If you do not agree with these Terms, your sole remedy is not to submit your designs and submit an email to artists@inkbox.com and request that your current designs be removed.
1. Changes to Terms; Eligibility:
Inkbox reserves the right to change these Terms without notice to you; therefore, we encourage you to review them periodically.
Changes to these Terms will be effective immediately.
You must be at least 18 years of age to be an Inkbox Artist and submit your designs, as well as be able to hold, access, and manage a valid and active PayPal account.
2. How the curated Artist Community works; Inkbox's use of the Designs:
To have designs sold by Inkbox, you must create an Artist Profile and an Inkbox account with the email address to which your Artist Community invite email was sent.
By creating your Artist Profile and submitting your designs, you agree to these Terms.
You will submit your original designs via your Artist Profile to Inkbox for review.
By submitting a design, you agree that the design belongs to you and does not infringe on the rights of third parties, and you grant Inkbox and its partners a non-exclusive, worldwide, perpetual, irrevocable, fully sublicensable license to use, reproduce, edit, create derivative works of, make available, distribute, sell, display and in any other way exploit the designs, and your name and other identifying information that is part of the submission, in any form, media of any kind now know or hereafter devised, including, without limitation, for producing, manufacturing, selling promoting and marketing designs and the tattoos. This may include featuring it on the Inkbox website, including it on packaging, and providing it to other retailers who may sell the Inkbox products that feature the Artist's designs. You hereby waive any moral rights you have in your designs.
Submitted designs by Inkbox Artists are reviewed and curated by a team of Inkbox staff.
If your design is selected by the Inkbox staff, your design will be offered for sale as a tattoo on the Inkbox website. Your design may be selected for sale worldwide or in specific countries (as determined by the Inkbox team in its sole discretion). When your designs are sold on the Inkbox website, you will be listed as the artist on the product page.
You will receive a commission on each tattoo sale of your design that is sold on the Inkbox website.
Except for the licenses, authorizations, consents, and rights granted to Inkbox hereunder, Inkbox acquires no title or ownership rights in or to any of your designs. You will own 100% of the intellectual property rights to your design(s), unless there is a separate contract to buy or otherwise transfer ownership of your design(s) to Inkbox.
Inkbox handles the production, shipping, and customer service of the tattoos.
Inkbox may also sell your designs through other retailers online or in their stores around the world (e.g. Amazon, boutiques, specialty retailers) under the Inkbox brand name. You will receive a commission on these sales. Such retailers have the right, but not the obligation, to include your name on product pages, in-store signage, packaging, or other promotional materials.
Inkbox may use tattoos in any marketing and/or paid advertising to promote the designs themselves and other Inkbox products. This is intended as marketing for the designs themselves and may or may not include a direct credit to the Artist in the advertisement; it may include links to the product page of any designs featured.
The Inkbox team may choose to sell an Artist's designs through other retailers (online or in stores) without featuring the designs on the Inkbox website.The Inkbox team may start or stop selling designs at any time for any reason without notice to the Artist, including, but not limited to, as part of design retirement sales.
Inkbox does not guarantee that design submissions will be private, even if the design submission is in a password-protected area.
Inkbox may refuse or may agree to remove a design without notice to you. Inkbox has no obligation to monitor design submissions, and you agree that neither we nor our parent company and affiliates will be liable for your design submissions or any loss or damage that arises from your design submissions.
3. Representations and Warranties:
You bear all responsibility for your designs.By submitting your design, You represent and warrant that your designs:
-Are original to you and/or fully cleared for use as contemplated herein;
-Do not and will not, in any way, violate or breach any of the provisions of these Terms;
-Do not contain libelous, tortious, defamatory, obscene or otherwise unlawful artwork, material or information;
-Will not infringe upon, misappropriate or otherwise violate any copyright or other intellectual property, privacy, publicity or other right of any party, or otherwise violate any other applicable law, rule or regulation;
-Do not use Artificial Intelligence (AI) in the creation of your designs, and any suspicion or evidence that AI was used will result in your design being removed. Inkbox does not condone the use of AI, specifically Generative AI, for design creation.
You further represent and warrant that you will not transmit files that contain viruses, spyware, adware or other harmful code.
Inkbox shall not be required to pay or incur any sums to any person or entity as a result of its permitted use or exploitation of your design submissions.
4. Infringement:
If a plagiarism or copyright infringement claim is submitted against a design, the design will be removed from the Inkbox website and will no longer be sold to other retailers. If an artist submits multiple designs that infringe on the designs of others, the Artist’s account will be banned, and all of the Artist’s designs will be removed from the Inkbox website and will no longer be sold to other retailers.
If Inkbox incurs any costs related to a design sold that infringes on others' copyrights or trademarks, the Artist will be held responsible for those costs.
If Inkbox receives a notice of infringement or a DMCA Takedown Request, we will comply with the request to remove the infringing design.
5. Commission; Payment:
All new Inkbox Artists will have a starting base commission rate of 6% per sale of their designs.
An Artist may have their commission rate increased from 6% to a maximum of 10% at Inkbox's discretion, depending on factors including, but not limited to: traffic generation to Inkbox.com, design(s) sales performance, advocacy of the brand on social media, and ongoing cooperative collaboration with Inkbox staff.
Any commission rate above 10% will be deemed a Partnership Agreement, and will require a separate agreed-upon contract between You and Inkbox, outlining separate Terms.
The commission from sales of products on the Inkbox website are calculated based on the final price paid by the customer (after all discounts and before taxes and shipping).
A report will be generated on the 1st of the new month, showing the previous month’s sales and earnings.
These earnings can be found in the Reports section of the Artist Portal, and payments will be made on or before the 15th of every calendar month.
You will be paid via PayPal. A valid PayPal account must be maintained in order to receive your commission payments.
If you have not provided your PayPal information or fail to make updates through the Artist Portal about your current PayPal information, your commission will be held until the next pay period. You can update this information via the Artist Portal, or please reach out via email if you are having any issues.
The Inkbox team may adjust the price of a design at any time without notice to Artists.
The commission from sales through other retailers is calculated based on the final invoice amount received by Inkbox, not the price paid by the end customer. Artists will receive the commission based on the timing of the payment by the retailer, not the purchase date of the end customer. Artists will receive commission the month after Inkbox receives payment.
Inkbox does not represent or warrant that your design(s) will be selected, nor that they will earn a certain dollar amount of commission on a regular basis, as all commissions from sales on Inkbox.com are generated by customer purchases only.
6. Additional Terms and Conditions:
You will defend, indemnify, and hold harmless Inkbox and its parent and their respective affiliates, subsidiaries, directors, officers, employees, shareholders, vendors, partners, contractors, agents, licensors and other representatives. If with respect to any third-party claims, costs (including reasonable attorney's fees and costs), damages, liabilities, and expenses or obligations of any kind, arising out of or in connection with your breach of these Terms. Inkbox retains the right to assume the exclusive defense and control of any claim subject to indemnification, and in such cases, you agree to cooperate with us to defend such claim. You may not settle any claim covered by this Paragraph 6 without our prior written approval.
Your access to and use of the Artist Portal and submission of designs is at your own risk. If you are dissatisfied, your sole and exclusive remedy is to discontinue submitting new designs and request via email to have your Inkbox designs removed from the website.
You acknowledge and agree that if you incur any damages that arise out of Inkbox’s acts or omissions, the damages, if any, are not irreparable and are not sufficient to entitle you to an injunction or other equitable relief restricting Inkbox’s use of the designs.
These Terms and all claims arising from your submission of the designs will be governed by and construed in accordance with the laws of the State of Arizona.
Our failure to exercise or enforce any right or provision in these Terms will not constitute a waiver of such right or provision.
These Terms, including all additional terms, conditions, and policies in the Artist Profile pages, constitute the entire agreement between you and Inkbox and supersede all prior agreements with respect to the subject matter hereof.
If any portion of these Terms is found to be void, invalid, or otherwise unenforceable, then that portion shall be deemed to be severable and, if possible, superseded by a valid, enforceable provision, or portion thereof, that matches the intent of the original provision, or portion thereof, as closely as possible. The other portions of these Terms shall continue to be enforceable and valid according to the terms contained herein.
